Terms of Service

By creating an account on Kalpana (“the Service”) or downloading any Kalpana software, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you don’t agree, don’t use the Service.

Kalpana provides AI software, hosted services, and a desktop application (“Kalpana Desktop”) that integrates with your business tools and reads files on devices you authorize. We act as a software vendor; we are not your data controller for content you process through Kalpana.

• You must be at least 18 years old or have legal authority to enter into agreements on behalf of your organization.
• You are responsible for safeguarding your password and any activity under your account.
• You agree to provide accurate, current information and to update it as needed.

Paid plans are billed monthly or annually in advance through Stripe. Charges are non-refundable except as required by law. You may cancel anytime via your billing portal; cancellation takes effect at the end of the current billing period.

We may offer a 14-day free trial. After the trial, your account converts to the plan you selected at signup unless cancelled. We do not collect payment information at trial start.

• No reverse engineering or scraping the Service.
• No abuse of LLM tokens, no automated bulk content generation.
• No unlawful, harmful, or rights-infringing use. You are responsible for all content you submit or generate via Kalpana.
• No use of Kalpana to violate the terms of any third-party service (Google Workspace, Slack, etc.) you connect.

You retain all rights to data and content you provide to Kalpana (“Customer Content”). You grant us a limited license to process Customer Content solely to operate the Service. We do not sell Customer Content. We do not train foundation models on Customer Content.

You are solely responsible for: (a) the lawfulness of your Customer Content; (b) obtaining all necessary consents from your employees, customers, and other data subjects whose data you process via Kalpana; (c) selecting which data sources Kalpana connects to and which folders Kalpana Desktop accesses.

Kalpana, including all software, designs, and trademarks, is owned by Kalpana Inc. and protected by intellectual property laws. We grant you a non-exclusive, non-transferable license to use the Service per these Terms.

Kalpana uses large language models that may produce inaccurate or biased output. You are responsible for reviewing all AI output before relying on it for business decisions, legal conclusions, financial reporting, or healthcare-related work.

We use commercially reasonable technical and organizational measures to protect Customer Content. We will notify you of any actual breach affecting your Customer Content without undue delay.

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. Paid plans include uptime commitments described in your order form.

You may terminate at any time. We may suspend or terminate access for material breach with notice and an opportunity to cure. Upon termination we will, on request, return or delete Customer Content within 30 days.

The service is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, Kalpana’s total aggregate liability arising out of or related to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages.

You will defend and indemnify Kalpana against third-party claims arising from (a) your Customer Content, (b) your breach of these Terms, or (c) your unlawful use of the Service.

We may update these Terms from time to time. Material changes will be communicated via email or in-product notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any dispute will be resolved in the state or federal courts located in Delaware.
